1. Agreement to these Terms
These Terms & Conditions ("Terms") govern your use of the Lazy Panda mobile application, related services, and this website operated by WebLabs Consulting Inc. ("WebLabs", "we", "our", or "us"). By downloading, accessing, or using Lazy Panda, you agree to these Terms.
If you do not agree, do not use Lazy Panda. For questions, contact support@weblabsconsulting.org.
2. Eligibility and account requirements
You must be legally able to enter into a binding agreement in your country or region. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms on your behalf.
Lazy Panda is not directed to children under 13, and children under 13 are not permitted to use the app.
You are responsible for complying with local laws that apply to your use of the app and any rewards, promotions, subscriptions, or in-app purchases.
3. Service description
Lazy Panda is a habit and journaling app that may include reminders, insights, and AI-powered assistant features (such as coaching chat and planning tools). Features may vary by platform, store policy, region, and app version.
We may add, change, pause, or discontinue features at any time to improve product quality, legal compliance, safety, or operational stability.
4. AI credits, paid products, and subscriptions
Lazy Panda may offer consumable credit packs and optional subscriptions. Prices, available products, and billing terms are shown in the relevant app store listing or purchase flow.
All users may receive complimentary monthly credits (currently 50 credits per calendar month). Complimentary monthly credits reset each month; promotional or purchased consumable credits are then used according to in-app wallet logic.
Consumable credits (including promotional and purchased packs) are digital in-app value, not stored currency. Unless required by law or store policy, consumable balances may not automatically restore across devices, store-account changes, app reinstalls, or local data deletion.
All payment processing, billing disputes, and refunds are generally managed by Apple App Store or Google Play under their store terms. Except where required by law, WebLabs does not directly issue store-billed refunds.
5. Acceptable use
You agree not to misuse Lazy Panda, interfere with service operations, or attempt unauthorized access to systems, accounts, or data.
- Do not use automated scripts, scraping, reverse engineering, or exploit attempts except where local law expressly permits.
- Do not use the app to generate, store, or distribute unlawful, abusive, or harmful content.
- Do not circumvent credit limits, purchase controls, or anti-fraud protections.
6. User content and licenses
You retain ownership of the content you create in Lazy Panda (such as habits, notes, and journal entries).
You grant us a limited, non-exclusive, worldwide license to process content only as needed to operate the app features you use, including AI requests you initiate, support, fraud prevention, and legal compliance.
7. Privacy
Your privacy matters to us. Please review our Privacy Policy for details on how information is handled, including local-first storage and third-party processing for AI and purchases.
If these Terms and the Privacy Policy address the same topic differently, these Terms govern contractual use rights and the Privacy Policy governs data handling practices.
8. Intellectual property
Lazy Panda, including software, branding, design assets, and service content (excluding your content), is owned by or licensed to WebLabs and protected by applicable intellectual property laws.
No rights are granted to copy, modify, distribute, or create derivative works from our protected assets except as expressly allowed by law or written permission.
9. Disclaimers
Lazy Panda is provided on an "as is" and "as available" basis to the fullest extent permitted by law.
The app offers productivity and reflection tools; it is not medical, psychiatric, legal, financial, or crisis-response advice. If you need emergency support or professional care, contact qualified local services immediately.
10. Limitation of liability
To the maximum extent permitted by law, WebLabs and its officers, employees, partners, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, profits, goodwill, or business opportunity arising from or related to your use of Lazy Panda.
Where liability cannot be excluded, our aggregate liability will be limited to the amount you paid to WebLabs for Lazy Panda in the 12 months preceding the claim, or USD $50 if greater.
11. Indemnification
You agree to indemnify and hold harmless WebLabs from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of Lazy Panda, violation of these Terms, or violation of applicable law.
12. Suspension and termination
We may suspend or terminate access to some or all features if we reasonably believe you violated these Terms, created legal or security risk, or engaged in abuse or fraud.
You may stop using the app at any time by uninstalling it. Store-managed subscriptions must be canceled through the applicable app store account settings.
13. International use
Lazy Panda may be accessed from many countries. You are responsible for compliance with local laws in your jurisdiction, including laws related to digital services, consumer rights, and online conduct.
14. Changes to these Terms
We may update these Terms from time to time. We will post the revised date at the top of this page. Continued use of Lazy Panda after changes become effective means you accept the updated Terms, unless applicable law requires an additional consent mechanism.
15. Governing law
These Terms are governed by the laws of British Columbia, Canada, without regard to conflict-of-law principles, unless mandatory local consumer laws require otherwise.
Any dispute arising out of these Terms or your use of Lazy Panda will be resolved in the courts located in British Columbia, Canada, unless applicable law provides you the right to bring claims in your local jurisdiction.

18. Apple App Store Additional Terms (iOS)
If you access Lazy Panda through the Apple App Store, this section applies in addition to the rest of these Terms. If there is a conflict between this section and any other part of these Terms, this section controls for iOS use.
These Terms are concluded between you and WebLabs Consulting Inc. only, and not with Apple Inc. WebLabs Consulting Inc., not Apple, is solely responsible for Lazy Panda and its content.
Your license to use Lazy Panda on iOS is a limited, non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and Conditions. The app may also be accessed and used by other accounts associated with the purchaser through Family Sharing or volume purchasing where available.
WebLabs Consulting Inc. is solely responsible for maintenance and support services for Lazy Panda, if any, as required under applicable law. Apple has no obligation whatsoever to furnish any maintenance or support services for Lazy Panda.
To the extent any warranty exists and is not effectively disclaimed, WebLabs Consulting Inc. is solely responsible for that warranty. In the event of any failure of Lazy Panda to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Lazy Panda, and any other claims, losses, liabilities, damages, costs, or expenses attributable to warranty failure are WebLabs Consulting Inc.’s sole responsibility.
WebLabs Consulting Inc., not Apple, is responsible for addressing any claims by you or any third party relating to Lazy Panda or your possession and use of Lazy Panda, including product liability claims, claims that Lazy Panda fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.
In the event of any third-party claim that Lazy Panda or your possession and use of Lazy Panda infringes that third party’s intellectual property rights, WebLabs Consulting Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of that claim.
You represent and warrant that you are not located in a country subject to a U.S. Government embargo, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
You must comply with applicable third-party agreement terms when using Lazy Panda.
You acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your license of Lazy Panda, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
